7. International Memberships (outside of the United States of America)

YourNight is a United States of America (USA) based company and its products and services are directed towards the USA market. YourNight has future plans to offer multiple languages and internal services, however, there is no time estimate available as to when these features and services will become available if ever.

Participation in any of our services, subscriptions or commission programs as an international member may have more errors than a USA member and YourNight will not be held liable for any losses caused by errors or unavailable features. YourNight accepts Visa, Master Card and Discover for subscription payments and no matter where you are in the world, your card will be accepted if it is valid. YourNight uses ADP for commission payments and ADP offers limited international services. Please visit www.ADP.com to see if they can make direct deposits to banks in your country and in your currency. To date YourNight has not had any problems making international deposits but to be on the safe side please check the ADP website for more information to verify their services.

YourNight plans to release a wallet payment system in the near future similar to PayPal, called YN PAY, and that system will allow anyone from anywhere in the world to order a YourNight Visa Debit card that will attach to your YN PAY account for the card holder to make purchases anywhere Visa is accepted.

Purchases made from YourNight vendors each have their own international policy so please be sure to check their information before making a purchase. Most of the larger sites will let you know before you finish checking out your purchase if they can or cannot ship internationally and will adjust your shipping rates accordingly if they can.

8. Member Marketing Rights (members promoting to receive referrals)

Absolutely no print materials can be made by anyone other than YourNight using the YourNight name, logo, slogan or other proprietary content. You must order business cards and other print material through YourNight if you would like to create print marketing materials.

URL's, you can purchase a URL / domain for the purpose of masking your referral link, however, the link MUST contain at least one other word other that YOUR and NIGHT. If this rule is not followed we will block your redirect.

YOU ARE NOT ALLOWED TO PURCHASE A DOMAIN FOR THE PURCHASE OF PROMOTING YOURNIGHT ON OTHER WEBSITE. If you plan to do this you must create a mock up prototype of the site and email it to legal@eeihq.com for permission. You must have legal written permission to bring the site live.

You are allowed to use, a non altered logo, and the YourNight name for the purpose of promoting yourself on social sites. However, you cannot, under any circumstances, represent yourself as an employee or partner of YourNight. You must also use at least one other word other than YourNight to name your page on a social site. The third word cannot be a Top Level Domain name such as com, net, biz, etc...

 

9. Spamming / Soliciting

YourNight is a commerce based social network and we want you to professional network yourself and your business(es) on YourNight. However, you are only able to promote yourself through your profiles and your "White Board" which is located on your 'Home" page and your profiles.

WE HAVE A ZERO TOLERANCE FOR SPAMMING / SOLICTING THROUGH OUR INTRAMAIL MESSAGING SYSTEM, other knows as, internal email. If you are marked for spam and its validated, you will receive one warning, if you persist beyond that warning then your account will be completed deleted and your subscription will be canceled if you are at that time enrolled within one.  

10. Forbidden Content

ADULT CONTENT IS STRICTLY PROHIBITED! Nudity and vile languages are considered adult content.

HARASSING BEHAVIOR/ CYBER STALKING IS STRICTLY PROHIBITED!

If you load any content that is prohibited your account WILL BE DELETED WITHOUT WARNING! A DELETION IN THIS CASE MEANS A LOSS OF EVERYTHING! DO NOT PASS GO AND DO NOT COLLECT $200! -hopefully you get the point, just don't do it!

1. Disclaimer

Some of the features and/ or services offered may or may not be available at this current time. YourNight is in a Beta testing stage with plans to release all of the stated features and /or services over a period of time. There are no guarantees that any of the features and/or services offered at the present time, that are not available now, will ever become available. YourNight is a new company that has spent years developing systems for it members to enjoy, however, those systems take time and money to integrate into a single platform. The success of the available system will determine the release of new features and services. By joining and using YourNight you understand and acknowledge that you will not hold YourNight liable for any offering statements on features and/or services that have yet to be released and your membership is considered a full waiver of liability.

2. Cash Back & Referral Rewards (profit sharing)

YourNight plans to share all revenues generated with its members through a member based affiliate program which includes, but is not limited to, subscription and advertising revenue. YourNight currently pays out up to 55% of its subscription revenues back its subscribers as referral commissions. YourNight also donates 5% of all monthly subscription revenue to charity (please see our donation pledge information on YourNight's main page).

YourNight has also built a system that generates commissions on purchases made from third party sites through YourNight. This system uses an advertising model called "CPA" or "Cost Per Action". YourNight currently has hundreds of advertising clients including, but not limited to; top online retailers, travel sites and online service companies.

The commissions YourNight generates from the CPA purchases made by YourNight members will also be paid out to all members types. YourNight will pay out up to 50% of all CPA revenue as referral commissions back to its members. The purchaser of the third party products and/or services will receive up to 20% Cash Back in the form of a monthly commission.

There are no guarantees on earnings/ commissions without purchases being made.

3. "Executive" Promotion / Indirect Referral Commissions

YourNight's "Executive" promotion is offered to every member AS A REWARD for referring five or more people who become a YourNight member or Gold member. The "Executive" promotion allows the promoted member to earn commissions from purchases made by indirect referrals (referrals of referrals). The compensation model is similar to that of a network marketing company or multi-level marketing company, however, YourNight is not a traditional network marketing company.

YourNight does not require any "start-up package" purchases or an inventory purchases to participate in the commission program. The only requirement is to earn the free  "Executive" membership upgrade, that pays commissions from indirect referrals, which is done by you referring five or more people to join YourNight as a free member. There is absolutely no cost to join YourNight or earn the free Executive upgrade promotion. There is a cost to become a Gold member but that is an optional services and the benefits to that service are listed on your "Upgrade" page.

Every member will have the ability to earn commissions on purchases made by their personal referrals and their own purchases from third parties using our CPA model as defined above. Each member is only required to have five personal referrals to be eligible for the "Executive" promotion. If a member earns the Executive promotion but falls under five referrals after such promotion due to account cancelations then the Executive member will be demoted back to a basic member.

4. Commissions After Cancelations

a. If you personally cancel your free membership you will no longer be eligible for any commissions

b. If your referrals' cancel their accounts you will lose the ability to earn commissions from that particular referral, however, if there are referrals that were made by the canceled member then those commissions will continue as long as your personal account is eligible for those commissions. Simply put, there are no cutoffs in commissions from down line referrals because of a referral cancelation above any down line referrals attached to the cancelled member within your referral network (your referral network is defined within your "Compensation Plan" page within your account). 

YourNight does not offer any rescinding of "levels" of referrals, meaning whatever level your referral joins within, that is where they will stay. 

5. Restructuring of Referrals (altering the level of the referral)

YourNight will never move the placement of a referral for any reason, so it is very important that you make sure your referrals are joining YourNight using your invitation (referral) tools. These tools are found and defined within your account under the "Earn" menu within the header of every page.

6. Absolutely No Cross Recruiting -Zero Tolerance

Once you have joined YourNight you are not allowed to create another account in your name with your social security number and /or tax id number. You can create another account in the name of your business or as an entertainer once those account types are offered, however, you are not allowed to do so until that point.

The only exception to that rule is if you accidently join using the wrong referral link, and you have been a member for less than one week and you have not invited anyone under your account. If one of those three terms do not apply, you cannot create a second account under a different referrer. If you do so, any subscriptions you are paying for will be canceled and all your accounts will be deleted. Additionally, your personal information will be flagged and if you try to create any new accounts under that information those accounts will also be deleted.

Gold Membership Purchase

Basic Members

• Services
  The Gold Membership is an optional service offered to all Basic members. The service allows our members to build a professional and dating network along with viewing videos and photos posted within those networks. It also allows the purchaser the ability to email members who they are not directly connected to within a network. There are additional search features added to the "People" search for Gold members. There may be more features and services added to the Gold membership over time.

• Age Requirements
  You must be at least 16 years of age to purchase the Gold Membership and to earn cash commissions rewards from Gold Membership referrals.

• Cancellations & Refunds
  The cost of the Gold Membership is $10 a month. Once a you become a Gold member you can cancel your Gold Membership at any time, however, any monthly subscription dues that have previously been charged prior to a cancelation are NOT REFUNDABLE. YourNight has a NO REFUND policy on all paid subscriptions in order to keep a balance in the Rewards and Donation program offered by YourNight. In the event there is a system error where multiple charges occur, due to a fault caused by the YourNight software, YourNight will then, at its discretion, offer a credit to be applied towards future services or will be paid as a commission into the receiving party's YN Pay account as cash to withdraw.

• Auto Renewal
  Your credit card or checking account will automatically be billed $10.00 every month for the purchase of the Gold Membership until the membership is cancelled or suspended.

• PAY BY CHECK, MONEY ORDER or CERTIFIED CHECK BY MAIL

In order to take advantage of this service you must pay for a year's subscription up front. THERE WILL BE NO REFUNDS WITH AN ADVANCE PURCHASE. ALL SALES ARE FINAL. YourNight will issue you a credit for $120.00 (12 months worth of service) with $10 being deducted immediately for your first month of service. If you cancel your Gold membership within the paid period NO REFUNDS will be issued.

Once YourNight has received your payment you will be sent an email that verifies the arrival of your payment. When the payment has clearer you will receive another notification that your Gold membership will be active within two (2) business days and a receipt of your purchase will be mailed to the return address on the envelope. Please make sure you write a correct return address otherwise you may not receive your receipt.

• PURCHASE YOUR GOLD MEMBERSHIP FOR A YEAR USING YOUR REFFERRAL COMMISSIONS

Please send an email to: support@yournight.com with your name, email, member ID and the last 4 digits of your social security number or tax ID number requesting to purchase a Gold membership for a year using your commissions. We will send a reply email if your request has been approved. Once the request is approved your YN Pay account will have $120 withdrawn within two (2) business days.

• Cash Referral Rewards

Every Gold Member has the ability to refer other members to upgrade to a Gold Membership in exchange monthly cash commissions. Once a Gold Member has canceled their subscription, all commissions from that particular Gold Member will not continue to be issued until the cancelation has been reversed.

 

Every Gold Member will also earn commissions from indirect Gold member referrals once a they have been upgraded to an Executive Gold membership, which requires the personal referral of five Gold members. If an Executive Gold member falls under five Gold member referrals they will lose the Executive Gold member status.

• Cash Referral Reward 7th Level Bonus

A $0.50 per 7th level Gold member referral bonus is being offered to the first 1,000 Gold members who earn the Executive Gold membership upgrade.  Once the bonus is issued to all of the first 1,000 Executive Gold members, the 7th level commission will reduce from $1 per month to $0.50 per month for every 7th level indirect Gold member referral for any and all future Executive Gold members.

• Point / Cash Redemption & Fees
  YourNight uses ADP for the issuance of "payroll" or monies earned through our member based referral rewards program.
  
  The charge for this service is listed below.

• Commission Payments By Check: Payments are issued on the 15th of every calendar month BY REQUEST of the receiver. Please allow up to 7 days to receive the check by mail. The fee for a check withdraw is $13 per check.

• Commission Payments By Direct Deposit: Payments are issued on the 15th of every calendar month BY REQUEST of the receiver. Please allow up to 48 hours for the funds to clear your account. The fee for a direct deposit withdraw is only $3 per deposit.
  
  The minimum amount you are able to cash out during any one payment period is $50.00 USD. YourNight suggests waiting for larger sums of money to be paid before requesting a cash withdrawal to avoid paying multiple processing fees.

• Referral Credits
  The only way you can earn credit for your referrals on YourNight is by using the referral "invitation tools" provided to you by YourNight. You must use the tools offered on the "Invitation Tools" page to earn credit. The only other alternative option to earn referral credit is to have your referral enter your name or Member ID ,on YourNight, which is the first step of the YourNight registration if no referral link was used to invite a new member to join. Your referral will be requested to enter in the name or the member ID of the person who referred them prior to filling out the YourNight registration. 

• Referral Rewards Tracking

On every YourNight member's "Home" page there is a widget called "Direct Referrals" and "Indirect Referrals" Rewards that will allow you to track all your direct and indirect referrals to YourNight and it will also tell you how many of those referrals have become Gold Members. After you become a Gold Member, the "Billing/Payments" page will contain detailed information about your earnings history. You can also access this page by clicking on the "Details" link located within several places while logged into your account such;  on your "Home" page and on your "Profile" pages.

YourNight Merchandise & Business Card Purchases

YourNight uses third party providers for the creation and distribution of its merchandise and business cards sold to its members.

YourNight has a NO REFUND policy on the purchase of all YourNight merchandise and business cards. However, if the items are not sold as "described" during the time of purchase, you can mail back the items to the address below and YourNight will arrange the exchange of the merchandise or business cards with the vendor. The purchaser is responsible for any shipping charges that accrued while returning the items for an exchange. YourNight will cover the shipping charges to send out the new items to the purchaser after the return items are received.

Verne Packer
Chief Executive Officer / Chair

As CEO, Mr. Packer is responsible for investor relations, corporate finances, budget planning, mergers, acquisitions, human resources, legal services and assists Mr. Garbowicz in the sales and marketing sectors. Mr. Packer is a self made entrepreneur and corporate business executive with 30 years of management, marketing, sales and financial experience. By the age of 24, Mr. Packer had founded and sold a chain of 14 retail sportswear stores. By the age of 36, he had spent 12 years working his way up the corporate ladder to become Senior Vice President of Miller Freeman Inc, managing a $100M division, and served on the board of what was then a billion dollar company. Mr. Packer has launched and co-founded many businesses in direct marketing, expositions and internet services since his early retirement from Miller Freeman.

How We Collect and Use Information

Creating an Account

When you join YN as an "person", we will ask you to create a password, and to provide your e-mail address, postal code and date of birth. When you join YN as a business, you will be asked to create a business name and password, to provide an e-mail address, postal code and the industry of the business, and to confirm that you are over 18 years of age. As a business you will be required to use a checking account or credit card in order to complete enrollment. The name on the credit card or checking account must match the name on the account being created on YourNight in order for a new account to be created. The purpose of this is to protect businesses and consumers from fraudulent companies or persons using the site for illegal purposes.

Creating a Profile

After you have joined YN, we will ask you to build one or more profiles about yourself or your business, or to buy services from YN. We may ask you in this regard to provide information about yourself or your business, including your name, age, personal interests, gender, education, job, company or organization name, e-mail, phone, home address, information about your company, and credit card information. If you wish, you may provide some or all of the information requested, and/or additional information about yourself or the business ("Voluntary Data"), to allow other users and visitors to get to know you better and possibly encourage them to choose you as a friend or an appropriate business contact on the Site. The Voluntary Data you choose to provide may be accessible to all other users and visitors to the Site, unless you elect to make the data private or for restricted viewing only. With regard to such particularly identified data, you may determine in each case if the data shall be displayed in public, or be kept private or be completely hidden except for viewing by persons and/or businesses you specifically allow to view the data.

You also have the ability to control the use of certain tools you add to your profiles or media that you post there. For example, you may limit or exclude comments on your profiles. You may place "public" or "private" viewing options on media that you post to your media albums, which would limit the ability of visitors who are not registered on the Site to view the media. You may also restrict the ability of users or visitors to “grab” or share the media you post to your media album.

Some of the information you provide when you join the Site may personally identify you (personally identifiable information) to us or allow us to contact you to provide a service, to carry out a transaction that you have requested such as receiving information about our services and products, to authenticate users and to help users to network with other users.

We use both your personally identifiable information and certain non-personally-identifiable information (such as anonymous user usage data, cookies, IP addresses, browser type, clickstream data, etc.). It is your responsibility to maintain the confidentiality of your password and account information.

We offer various possibilities to search for particular YN customers and users. These search functions may assist you, for example, in finding other YN users with similar interests. The search functions can also help you to initiate contact with other YN users who offer exactly what you are looking for. Thus, you can find the contacts you need - and systematically expand your personal or business network. In the same way, other users of the Site or visitors may be able to search for you and thereby find any personal information you have posted on a public profile on the Site. Search engines may index the portion of a user’s profile (including the information it contains) that is publicly displayed.

We may also use a user's email address to send updates, a newsletter or news regarding our services. Users may choose not to receive email of this type by changing their "notification" setting to "Do not send me notification emails" in the user "Account Settings". Our Site may also use your email address without further consent for non-marketing and administrative purposes.

Any YN member may send you messages on the Site. You do, however, have the ability in the “Privacy” section of your “Named Control Panel” to block messages from a user that you have accepted previously as a friend or business contact.

From time to time, YN or a partner may sponsor a promotion, sweepstake or contest on our Site. Users may be asked to provide personal information including name, email address or home address or to answer questions in order to participate. We may transfer personal information to certain advertising partners that you have explicitly requested to receive information from. It will be clear at the point of collection who is collecting the personal information and whose privacy statement will apply.

Note for Users Who Refer a Friend

If you choose to use our referral service and invite tools to tell a friend about our Site we will ask you for your friend’s name and email address. We will automatically send your friend an email inviting him or her to visit our Site. YN stores this information for the sole purpose of sending this email and tracking the success of our referral program.

Your friend may contact us at privacy@YourNight.com to request that we remove this information from our database.

Sharing Information With Other Companies or People

We do not sell, rent, trade, or lease your personally identifiable information for marketing purposes, without your consent, except as part of a program or feature for which you can opt-out. We will use your personally identifiable information for our own internal marketing purposes. If you do not wish us to use your personal information for marketing purposes you can opt-out by emailing, opt@YourNight.com with "Opt Out" as the subject line in the email. Logged Files, Cookies and Web Beacons

For systems administration and payment fraud control purposes, when you use our Site, our servers will log information such as Internet Protocol ("IP") address, your web request, browser type, browser language, referring / exit pages and URLs, platform type, number of clicks, domain names, landing pages, pages viewed and the order of those pages, the amount of time spent on particular pages, the date and time of your request, and one or more cookies that may uniquely identify your browser. These logs are analyzed to deal with payment fraud and improve the value of the materials available on the Site. User's sessions are tracked, but the user remains anonymous. Youth Policy (children under 13)

YN does not knowingly collect or solicit personal information from anyone under the age of 13 or knowingly allow such persons to register directly on the Site. Adult related content will have to be marked as "Mature" and no member under the age of 21 will be able to search and/or view such content. An example of such content is a business member that owns an a nightclub or bar targeted towards the 21 years of age audience, this business will not be searchable or viewable by any member under the age of 21.

Protecting your privacy and your personally identifiable information is a top priority. We take commercially reasonable precautions to protect your personally identifiable information.
